Im vorliegenden Werk werden wirtschaftsjuristische Lehrinhalte zusammengestellt, die gleichermaßen für Studenten dieser Fachrichtung und für Praktiker relevant sind, die nicht primär forensisch, sondern vertragsgestaltend und im unternehmensinternen Management von Rechtsrisiken tätig sind. Anstelle der typisch justizjuristischen Einzelprobleme sind das Unternehmenskaufrecht, Umwandlungs- und Übernahmerecht sowie Grundzüge des Kapitalmarktrechts mit behandelt. Durchweg geht es im Kern um die wirtschaftlichen Steuerungsmechanismen, die von den Rechtsnormen intendiert sind. Anders als bei den bekannteren wohlfahrtsökonomischen Analysen wird zumeist auf ergebnisoffene Systemfunktionen wie Wettbewerb, Öffentlichkeitseffekte und die sogenannte (corporate) governance abgestellt, die auch außerhalb der Börsen eine erhebliche Rolle spielen.
